We are looking for our first General Counsel & Head of Legal Ops. We don't want to build a massive legal department; we want to build a massive legal advantage. You will be the architect of an AI-augmented legal and tax function that enables us to scale confidently across Germany and Europe with unprecedented speed and structural efficiency.
This is not a back-office role. You'll sit at the center of high-stakes transactions, cross-border supply chains, supplier negotiations, customer claims, and operational risk. You'll design the legal frameworks, templates, and playbooks that allow Andercore to scale confidently across Germany and Europe.
As our Syndikusanwalt / General legal Counsel, you will hold the formal Syndikusrechtsanwalt designation under German law-ensuring full in-house counsel privileges and professional independence while deeply embedded in the business.
The "AI-First" Mandate
In this role, your "Junior Associate" and "Tax Senior" are Large Language Models (LLMs), your sr. are external counsels such as TaylorWessing, FGS, Reed Smith, and various specialized boutiques. You will:
Scale Through Automation
Use AI to review and audit large volumes of contracts and legal documents in hours instead of weeks.
AI-Augmented Tax Structuring
Deploy AI agents for first-pass analysis of cross-border tax, transfer pricing, and permanent establishment risks.
Self-Serve Governance
Implement internal AI tools that resolve most routine legal, HR, and NDA requests instantly.
External Counsel Optimization
Use AI to verify research and drafts so external advisors focus only on complex judgment and final sign-off.
What You Will Do
1. Commercial & Contracting Excellence
- Draft, negotiate, and close high-value commercial contracts across B2B sales, procurement, logistics, SaaS, and partnerships.
- Build scalable contract templates, playbooks, fallback rules, and negotiation guidelines that shorten deal cycles while protecting the company.
- Advise Sales, Procurement, Growth, and Finance on pricing structures, payment terms, supplier agreements, international expansion, and new business models.
- Manage supplier disputes, customer claims, and operational risk situations pragmatically and commercially.
- Translate legal risk into clear, actionable decisions for the business.
2. M&A Execution
- Lead the legal lifecycle of approximately three acquisitions per year.
- Own the SPA process, coordinate local counsel across jurisdictions, and drive deals to closing.
- Support due diligence, transaction structuring, and integration planning.
3. People & Employment Law (≈20%)
- Support the People team on German employment law matters including hiring, contracts, terminations, warnings, restructurings, and compliance.
- Draft and refine employment agreements, HR guidelines, and internal policies.
- Advise leadership on complex personnel matters with clarity, empathy, and legal precision.
4. Compliance, Governance & Risk (≈5%)
- Monitor EU and German regulatory developments affecting trade, logistics, payments, data, and digital operations.
- Manage corporate governance matters for German entities and coordinate with external counsel where required.
- Design simple, scalable compliance processes aligned with our operational model.
- Promote a culture of proactive compliance and commercial discipline.
Who You Are
- AI-Native: You don't just "use" AI; you prompt-engineer your workflow. You are comfortable building a "no-code" legal stack.
- Volljurist/in with two Staatsexamina and eligible for registration as Syndikusrechtsanwalt.
- 3+ years PQE from a top-tier law firm or in-house team-ideally in tech, marketplaces, logistics, or fast-scaling B2B businesses.
- Business-fluent in German and English (English is our internal operating language).
- Operational Mindset: You value deal velocity over long memos. You quantify risk in dollars, not just "could/might" language.
- Thrives in an office-only, high-tempo environment with fast decisions and constant iteration.
